Terms of use
Version 0.7, 29 October 2026
This is an agreement between you and Flic. Flic is made and provided by Waymarker Pty Ltd (ABN 58 697 519 047, trading as Flic) of 24 Lockwood Street, Sherwood QLD 4075 ("Flic", "we", "us"). "You" means the person accepting and any business they accept for. Part 1 is the terms of use, Schedule 1 covers data and privacy, and Schedule 2 covers the design partner arrangements until the design partner period ends. On its subject, a schedule overrides Part 1, and Schedule 1 overrides Schedule 2.
The short version
This list helps you read the terms. It does not replace them.
- Flic is software for licensed brokers. It drafts; you decide. Nothing reaches a client unless you review it and send it yourself.
- Flic does not give credit advice and does not deal with your clients.
- Get everyone's agreement before you record a conversation, as the law requires.
- Your clients' information is stored in Australia. Some of it is processed in the United States (the AI that reads documents and calls, transcription, meeting note-taking, some service logs, and the AI tools our engineers use), by providers that use it only to do that work. It is never used to train any AI model, and is never sold.
- Please remove tax file numbers before uploading. Flic doesn't mask them yet.
- Your files are yours. We only use de-identified copies to check Flic is getting the right answers, and you can opt out, or have them deleted, at any time.
- We tell you within 72 hours of a data breach affecting your clients.
- Flic is early and improving every week, so keep your own records in your CRM as you do today.
- It is free while you are a design partner. You are never charged unless you choose a paid plan.
- Either of us can end this on notice, and you can take your data with you.
Part 1: Terms of use
1. Who can use Flic
1.1 Flic is for holders of an Australian credit licence, their credit representatives, and staff working under their supervision. By accepting you confirm that you are one of these and will tell us if that changes, that you have authority to bind any business you accept for, and that your licensee (your aggregator or licence holder) allows you to use software like Flic with client information, on any conditions it sets.
1.2 Each person who uses Flic needs their own login and must accept these terms. You are responsible for your staff's use of Flic.
2. What Flic does, and what it does not do
2.1 At this stage Flic lets you record a client conversation in your browser, have Flic's note-taker join a video call, or upload a recording or transcript. Flic keeps the transcript, not the audio. It pulls out the facts, each linked to where it came from, drafts the Brief, a note on the client for you and your team, fills in a fact find, and produces a document list for each borrower and a draft initial email for you to copy into your own email or CRM. It stores documents you load in, and Copy for CRM lets you paste a compliance note into your aggregator CRM.
2.2 Flic sends nothing to clients or lenders. It has no client login, client document portal or CRM connection, and at this stage it does not assess servicing or apply lender policy.
2.3 We do not provide credit assistance or credit, financial product or legal advice, we do not deal with your clients, and we do not hold an Australian credit licence. Flic does not suggest to any client that they apply for a particular credit contract or use a particular lender. Any figure Flic shows is an unverified estimate from the information it was given, not an approval.
3. You review everything
3.1 Everything Flic produces is a draft. Flic makes mistakes, including mistakes that look right: it can mishear, miss things, or attribute a fact to the wrong person.
3.2 Review and correct any output before you rely on it or use it with a client, a lender or anyone else. Anything you send or show to a client is your communication, under your name and your licence.
3.3 You remain responsible for your obligations to your clients and your licensee, including responsible lending inquiries and verification, the best interests duty, your credit guide and other disclosure, and record keeping.
3.4 Do not give a client access to Flic. If a client asks an advice question, you answer it, not Flic.
4. Your clients
4.1 Recording. You agree to obtain the agreement of everyone taking part before you record a conversation, or upload a recording or transcript of one, as the law that applies to them requires. If anyone does not agree, do not record. We can give you a consent script to use if it helps.
4.2 Consents and permissions. You agree to obtain any consents, permissions and authority that the law, your licence and your licensee require for your clients' information to be used in Flic as these terms describe. By putting client information into Flic, you confirm that you have them. If you need to tell your clients about the service providers you use, how you do so is up to you. We can share suggested wording if it helps.
4.3 Tax file numbers. You are responsible for removing tax file numbers and similar government identifiers from documents, recordings and transcripts before they go into Flic. Flic does not yet mask them automatically. We do not scan for them. If we come across one, we delete the file and tell you. You can delete any file yourself at any time.
4.4 What you put in. Only information you collected lawfully, may use for your client's loan, and the loan needs. No health information unless it is needed and your client has agreed. No credit reports, credit scores or other information from a credit reporting body such as Equifax, illion or Experian.
5. Your account and proper use
5.1 You sign in with a Google or Microsoft account. Keep 2-Step Verification on, do not share your login, and keep your devices secure. You are responsible for what happens under your login unless our systems fail. If your login or a device may be compromised, tell us at admin@heyflic.com as soon as you can and within 72 hours.
5.2 You must not:
(a) let anyone else use your login, or give a client access to Flic;
(b) use Flic unlawfully, including recording without the agreement clause 4.1 requires, or put in anything you have no right to share;
(c) share screenshots showing client information, except in the ordinary course of your work;
(d) try to reach other users' information, test our security, or get around any control;
(e) copy, reverse engineer or resell Flic, build a competing product with it, or extract data from it with automated tools; or
(f) send us client information by email, messaging app or group chat, except as Schedule 1 clause 7.2 allows. Describe the problem without client details, and we will look at it in Flic with your permission.
6. Feedback, ownership and confidentiality
6.1 You permit us to use your feedback and ideas for any purpose except training AI models (Schedule 1 clause 8), free of charge and without crediting you. Feedback does not include client information, which stays under Schedule 1. We will not name or quote you publicly without your written permission.
6.2 We own Flic, including its software, instructions and templates, our improvements, and the test cases and aggregated statistics made under Schedule 1, which are de-identified as that schedule requires. Some of what Flic learns is general lending knowledge: facts about lenders, products and their policies, such as a lender not accepting a certain kind of income, that are true whoever the broker is and can be found outside Flic. General lending knowledge is not your content or anyone's personal information. We may use it to improve Flic for everyone, without identifying you, your business, your clients or any file.
6.3 You own your content (the recordings, transcripts, documents, notes and edits you put in) and, as between us, the outputs Flic produces for your clients, apart from Flic's own templates and formats. We may host, copy and process your content only to provide Flic to you and as Schedule 1 allows. Your know-how is yours too: the questions you ask, how you structure a deal, and the strategies you use for your clients. We don't claim it, and we never pass it to other users.
6.4 Each of us keeps the other's confidential information confidential and uses it only for this agreement. Yours includes your content and client information; ours includes unreleased features, plans and unpublished pricing. This does not cover information that is public through no fault of the recipient, that the recipient already had, or that the law requires to be disclosed (with notice first where the law allows). It continues after this agreement ends.
7. Fees
7.1 Flic is free while you are a design partner (Schedule 2).
7.2 We only charge you if you choose a paid plan and agree its price in writing, in Flic or by email. We give at least 30 days' notice before your free use ends. There are no automatic charges.
7.3 If you choose a paid plan, you take it on the version of these terms current at that time, which we show you when you choose, with the plan's price and inclusions added. You do not sign a separate document. Prices are plus GST, and we will give you a tax invoice. We will not raise a price during a period you have paid for; any other price change needs 30 days' notice, and you can cancel before it takes effect.
8. Changes
8.1 Flic will change often, especially during the design partner period. On a paid plan, we give 30 days' notice before removing a feature you rely on, and you can cancel with a refund for any unused paid period.
8.2 We may change these terms by emailing you at least 30 days ahead and saying what is changing. If you do not agree, you can stop using Flic before then, with a refund for any unused paid period, and we will help you export your content. Shorter notice applies only where the law requires it or a security risk demands it, and only as far as needed. No change applies to the past.
8.3 No change to these terms will reduce our commitments in Schedule 1 clauses 7 and 8 (quality testing, and your data staying yours) for material already in Flic without your written agreement.
9. Suspension and ending
9.1 You can close your account at any time by telling us. If you close it because we have breached these terms, we refund any unused paid period.
9.2 We can end your access on 14 days' notice during the design partner period, or 30 days' notice on a paid plan (refunding fees for any period after access ends). We can end it straight away if you seriously breach these terms (for example by recording without agreement, giving a client access, or uploading credit reports), stop being eligible, or leave another breach unfixed 14 days after we ask.
9.3 We can suspend access straight away if we reasonably need to protect Flic, your clients or other users from a security risk, or if the law requires it. We will tell you why and restore access when the reason has passed.
9.4 When your access ends you have 30 days to export your content, then we delete it under Schedule 1 clause 6. Clauses 6, 10 and 11 and Schedule 1 survive.
10. Responsibility and liability
10.1 Your rights under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies a right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Where the law allows, our liability for failing to meet a consumer guarantee is limited to supplying the service again or paying the cost of having it supplied again.
10.2 Flic as it is. Apart from clause 10.1 and the commitments in these terms, we do not promise that Flic will be free of errors, always available or suitable for a particular purpose.
10.3 Each of us is responsible for our own part. You are responsible for the advice you give, the decisions you make and what you send to clients, lenders and others, including loss from using an output without reviewing it. We are responsible for Flic and for our commitments in Schedule 1.
10.4 Limits. Neither of us is liable to the other for indirect or consequential loss, or for lost profit, revenue, commission or opportunity. The reasonable costs of notifying individuals and the regulator, and of putting things right, after a breach of Schedule 1 are not indirect loss. Each of our total liability to the other is limited to the greater of A$1,000 and the fees you paid in the 12 months before the claim arose. A higher limit applies instead to our liability for a breach of Schedule 1, and to each of our liability under clause 10.5: the greater of A$20,000 and three times those fees. No limit applies to fraud, wilful misconduct, personal injury, or anything the law does not allow to be limited. Each of our liability, including under clause 10.5, is reduced to the extent the other caused or contributed to the loss.
10.5 Claims by others. We will indemnify you (cover your loss) against a claim that your use of Flic in line with these terms infringes someone's intellectual property. You will indemnify us against a claim by anyone, including a client, arising from your recording without the agreement clause 4.1 requires or putting information into Flic without the right to. Whoever seeks cover must tell the other promptly, let the other run the claim, and help reasonably.
11. General
11.1 Queensland law governs these terms, and the courts of Queensland have jurisdiction.
11.2 Before going to court over a dispute, we will each try in good faith to resolve it within 20 business days of written notice. Either of us may still seek urgent relief.
11.3 Notices go to your account email and to admin@heyflic.com. You agree to accept these terms and receive notices electronically.
11.4 You may transfer this agreement only with our written agreement. We may transfer it to a business that takes over Flic and takes on our obligations, including Schedule 1, if we tell you first.
11.5 These terms, with any paid plan you choose, are our whole agreement about Flic. An invalid part is limited or removed as far as needed, and the rest continues. Not acting on a breach does not waive it.
Schedule 1: Data and privacy
1. Who is responsible for what
1.1 "Client information" means personal information about your clients, and anyone else such as a partner, guarantor or dependant, that you put into Flic or that Flic produces from it.
1.2 You collect client information, decide what goes into Flic, and are responsible for your relationship with your clients, including giving them notice and handling their requests. We handle client information on your behalf, only as this schedule allows, and we handle it in line with the Privacy Act 1988 (Cth) and the Australian Privacy Principles, whether or not they would otherwise apply to us.
2. What we use it for
2.1 We use client information only to provide Flic to you, keep it secure and fix faults, give support you ask for (which may include looking at a client file with your permission), make de-identified testing copies under clause 7, and comply with the law.
2.2 We never sell client information or use it for advertising. We share it only with the providers in Annex A, with our professional advisers, who are bound to keep it confidential, and as the law requires. We do not copy it into the systems we use to develop and test Flic, except as de-identified testing copies under clause 7.
3. Where it is kept, and who processes it
3.1 Client information is stored in Australia. Some of it is processed in the United States by the providers in Annex A: the AI that reads conversations and documents and drafts outputs, transcription, meeting note-taking, some service logs, and the AI tools our engineers use. Each provider is bound in writing to protect it, use it only for its service, and not train AI models on it.
3.2 We give at least 30 days' notice before adding or replacing a provider that receives client information, or sending any of it to a country not already named in Annex A (Annex A will then describe the provider by kind and country). If you object on reasonable grounds and we cannot resolve it, you can end this agreement first, with a refund for any unused paid period.
4. Security
4.1 We take reasonable steps to protect client information from misuse, interference and loss, and from unauthorised access, change or disclosure. At a minimum:
(a) it is encrypted in transit and when stored;
(b) your client files are kept apart from every other user's, and no other user can see them;
(c) Flic does not keep audio: recordings go to our transcription provider to be turned into text, which deletes the audio within 1 day, and Flic keeps the transcript until you delete it;
(d) we do not scan for tax file numbers (removing them before upload is your responsibility under Part 1 clause 4.3), but if we come across one we delete the file and tell you, and you can delete any file yourself at any time;
(e) our logs and monitoring hold client information only as needed to run and fix the service; and
(f) everyone at Flic is bound by written confidentiality obligations; access to client information is limited to the people who need it for their role, and access through Flic is logged.
4.2 Flic does not hold a security certification such as ISO 27001 or SOC 2. We will tell you if that changes.
5. Data breaches
5.1 If we become aware of, or reasonably suspect, a data breach affecting client information, we tell you without undue delay and within 72 hours, with what we know, what we are doing and what you may need to do, and keep you updated.
5.2 We assess it with you under the Privacy Act's Notifiable Data Breaches scheme. If it happened in our systems and notification is required, we prepare the notices to the Office of the Australian Information Commissioner and affected individuals, and agree with you who sends them.
5.3 If you learn of a breach on your side that affects Flic, such as a compromised login, tell us within 72 hours so we can help contain it.
6. Keeping and deleting
6.1 We do not keep audio, or the copies sent to AI providers to produce an output. Our transcription provider deletes audio within 1 day. Our AI providers may keep those copies for a limited time, only for security and to prevent abuse, and then delete them.
6.2 We keep your client files while your account is open. When you ask us to delete one, or 30 days after your account ends, we delete it from the live system within 30 days and from backups within 35 days after that. We keep the record of your acceptance, invoices and other records the law requires, and testing copies under clause 7 unless you ask us to delete them.
6.3 Flic does not replace the records your licence requires. Keep them in your own systems, for example your aggregator CRM via Copy for CRM.
7. Quality testing
7.1 What it is. Quality testing means checking that Flic produces the right output against known cases. We take a client file where we know the right answer, run Flic on it, and compare. It tells us how accurate Flic is, where it goes wrong, and whether a new version is better, not worse, before we release it.
7.2 What we may use. Unless you opt out, we may make testing copies of the transcripts, documents, extracted facts and outputs in your account, and your edits and feedback (your edits show what the right answer was). We only use client information collected after you had the consents and permissions this testing needs (Part 1 clause 4.2); you tell us that date by email, and until you do we make no copies from your account. If you give us example files for testing outside your ordinary use of Flic, you must first have your client's written agreement, and you send them only through Flic or another secure way we agree with you in writing. The same rules then apply to them.
7.3 De-identified first. Before a copy is used, we remove or replace names, addresses (including property addresses), phone numbers, email addresses, dates of birth, identity document, tax file and account numbers, employer and business names, and your name and your business's name. We shift dates, and generalise or remove anything else that could identify someone, such as an unusual job in a small town. We keep amounts, loan details and the file's structure, because they are what the test checks. Audio is never used. A person on our team checks every copy before it is used. To make a copy, a named person on our team may need to view the original file, inside Flic's systems in Australia.
7.4 Who sees them. Only named people on our team who need them for testing, under written confidentiality obligations, with a record of who has access. We never give testing copies to anyone outside Flic, other than our professional advisers, who are bound to keep them confidential, and we never publish them or use them in marketing. Tests use only the providers in Annex A, on the same terms.
7.5 How they are kept. In Australia, in a restricted store separate from our source code, with the same security as live client information. We will not try to re-identify anyone, or combine a copy with other information to do so. If we find a copy that was not properly de-identified, we fix or delete it and treat it as a possible data breach under clause 5.
7.6 How long. Only while useful for testing. We review the set every 12 months and delete each copy within three years of making it.
7.7 Opting out. At any time, by emailing privacy@heyflic.com, you can opt out so that no new copies are made from your account, ask us to leave out a particular client file (for example because your client asked), or ask us to delete copies already made from your material. We act within 30 days and confirm in writing. Nothing else about your use of Flic changes.
7.8 Results. We may describe how Flic performs across all our tests, for example how often it gets an income figure right. Results never identify you, your business or any client.
8. Your data stays yours
8.1 We will not use your content, your feedback, client information or any testing copy made from them to train, fine-tune or otherwise change any AI or machine learning model, ours or anyone else's. We will not build a dataset from it for that purpose or give it to anyone who would use it for that purpose.
8.2 Our AI and transcription providers are bound in writing not to train on what we send them, and we turn off any setting that would allow it. If a provider changes its terms to allow training on our data, we stop sending it client information.
8.3 We never put your material, even de-identified, into the instructions or examples Flic uses on another user's files. General lending knowledge (Part 1 clause 6.2) is not your material for this clause.
8.4 Improving Flic is not training an AI on your data. When testing shows Flic getting something wrong, or we learn general lending knowledge, we update our own software, instructions and rules.
8.5 Once a year, on request, we will confirm in writing that we have kept this clause. A breach of it is a serious breach: you may end this agreement straight away, and we will delete your content and every testing copy made from it.
9. Requests and your own information
9.1 If a client asks to see or correct their information, or complains, you handle it and we help, including by exporting or correcting information in Flic. We refer clients who contact us to you.
9.2 If an agency or court asks us for client information, we tell you first unless the law prevents us, and give only what is required.
9.3 We collect your account details and how you use Flic (features, timings, errors) to run, support and improve it and to contact you about it, as our privacy policy describes (heyflic.com/privacy). Aggregated statistics we use or share never identify you, your business or any client.
Annex A: Service providers that receive client information
| Provider | What it does | What it receives | Where |
|---|---|---|---|
| A hosting provider | Runs the Flic app | Client information as it passes through the app, and some in its service logs for a limited time | Sydney, Australia; some service logs in the United States |
| Database and file storage providers | The database, stored documents and transcripts | All stored client information | Sydney, Australia |
| A monitoring provider | Watches Flic for errors and faults | Client information only as needed to run and fix the service, with sensitive numbers, such as tax file, Medicare and account numbers, removed before it is stored | Sydney, Australia |
| AI model providers | AI models that read conversations and documents and draft outputs | The text needed for each output, kept only for a limited time for security and to prevent abuse | United States |
| A transcription provider | Turns recordings into text | Audio of recordings and their transcripts, each deleted within 1 day | United States |
| A meeting notetaker service | Flic's note-taker: joins video calls to record them for transcription | Audio of the call only, no video, kept for 24 hours at most | United States |
| AI tools our engineers use | Help our engineers support and fix Flic | Only the client information needed for the task at hand | United States |
Sign-in providers (United States) provide sign-in. They receive your name, email address and account identifiers, and no client information.
Flic keeps its own register of the named providers.
Schedule 2: Design partner arrangements
1. Being a design partner
1.1 You are one of the first brokers to use Flic. We would like you to use it in your real work with real clients, tell us what works and what does not, and talk with us regularly, as we agree with you when you join. None of this is compulsory, but it is the point of the program. Use Flic alongside your usual process, not instead of it, and do not rely on its output as advice.
2. Flic is early
2.1 Flic is under active development. Features will change, sometimes without notice, it may be unavailable at times, and in rare cases data may be lost, so keep what you need in your own systems. There are no service levels during the design partner period. None of this overrides Schedule 1.
3. Free use
3.1 Flic is free for you during the design partner period.
3.2 After it ends, you keep free use until 31 March 2027.
3.3 If you take part as we agreed with you when you joined, we may extend your free use or offer a discount, confirmed in writing.
4. Confidentiality and talking about Flic
4.1 You will see features and plans before they are public. Treat them as our confidential information.
4.2 You are welcome to say you use Flic and give your honest opinion. Please ask us before publishing screenshots or details of unreleased features, and never publish a screenshot showing client information.
5. When the design partner period ends
5.1 It ends on a date we give you by at least 30 days' notice, expected around when Flic opens for early access, planned for the end of November 2026. This schedule then stops, except clauses 3.2, 3.3 and 4.1. Part 1 and Schedule 1 continue, and you sign nothing new. Either of us can end your participation earlier under Part 1 clause 9.
Acceptance
By accepting in Flic, you agree to these terms for yourself and for any business you accept for.
